Information on the Exchange for Holders of the 2022/2027 Bonds
On 23 September 2026, Katjesgreenfood GmbH & Co. KG made a voluntary public exchange offer, including an additional purchase option, to all holders of the 2022/2027 Bond (WKN: A30V3F / ISIN: DE000A30V3F1) for the new 2026/2031 Bond (WKN: A5GS6W / ISIN: NO0013759555, interest rate range: minimum 7.75% to maximum 8.50% p.a.).
All persons currently holding bonds of the 2022/2027 Bond are given the opportunity to tender their bonds to the issuer and, subject to allocation under the exchange offer, to receive bonds of the 2026/2031 Bond at an exchange ratio of 1:1, plus accrued interest and a cash settlement amount of EUR 17.50 per EUR 1,000 of the claim tendered for exchange. The exchange period runs from 23 September to 15 October 2026.
The exchange is processed through your respective custodian bank. Bondholders will be contacted separately by their respective financial institutions.

Frequently Asked Questions about the 2026 Exchange Offer
Katjes Greenfood has an attractive investment portfolio comprising strong brands in structurally growing Better-for-You segments, a strong ownership base with the long-term-oriented owners of the family-run Katjes Group, a high degree of financial flexibility thanks to a broad liquidity base and valuable investments, as well as a strong capital markets track record.
Holders of the 2022/2027 Bond who submit an exchange instruction within the Exchange Period as part of the Exchange Offer will, if their exchange instruction is accepted by the issuer, receive one bond of the new 2026/2031 Bond for each 2022/2027 bond exchanged, plus accrued interest and a cash settlement amount of EUR 17.50 per EUR 1,000 principal amount of the bond tendered for exchange. The exchange premium is therefore significantly higher than the cash settlement amount of EUR 10.00 per bond in the event of early redemption on or after 29 November 2026.
During the Exchange Period, holders of the 2022/2027 Bond (ISIN: DE000A30V3F1) will generally be provided by their respective custodian bank with the relevant form to exchange their bonds for the 2026/2031 Bond (ISIN: NO0013759555). Holders of the 2022/2027 Bond must submit this form to their custodian bank within the Exchange Period (23 September to 15 October 2026, 10:00 CEST; subject to any extension or shortening of the offer period).

All holders of the 2022/2027 Bond are eligible to participate in the exchange. There is no obligation to participate. Holders of the 2022/2027 Bond who do not participate in the exchange will continue to receive the existing interest rate of 8.00% p.a. However, the issuer has the option and intends to call and redeem the 2022/2027 Bond prior to maturity.
If an allocation is made under the Exchange Offer, the exchange ratio is 1:1. This means that holders of the 2022/2027 Bond will receive one bond of the new 2026/2031 Bond for each 2022/2027 bond exchanged. In addition, accrued interest will be paid together with a cash settlement amount of EUR 17.50 per EUR 1,000 principal amount of the bond tendered for exchange.
Participants in the Exchange Offer also have the option, by exercising the additional purchase option, to submit an offer to subscribe for additional bonds of the new 2026/2031 Bond against payment of the principal amount.
Yes. It is also possible to exchange only a certain number of bonds. The relevant number can be specified on the corresponding offer form. However, the minimum denomination of EUR 1,000 must be observed. In addition, the amount of the exchange instruction must be divisible by the principal amount of the bonds, i.e. it must be a multiple of EUR 1,000.
Yes. Holders of the 2022/2027 Bond who participate in the Exchange Offer may also submit an offer to purchase additional bonds of the 2026/2031 Bond (“additional purchase option”).
In addition, investors may subscribe as part of the Public Offer via our website or through Deutsche Börse’s DirectPlace subscription functionality (i.e. generally by placing a corresponding order through their own bank or custodian bank) from 23 September to 19 October 2026, subject to any extension or shortening of the offer period.

The interest rate will be within a range of 7.75%–8.50% p.a. and is expected to be determined on 19 October 2026 as part of the bookbuilding process. It will be communicated to bondholders in an interest rate and volume determination notice. Interest will be paid semi-annually on 26 April and 26 October of each year, with the first payment due on 26 April 2027.
Yes. The issuer has the right to call and redeem the 2022/2027 Bond prior to maturity and intends to exercise the right, subject to the successful placement of the new 2026/2031 bond, to call the 2022/2027 bond on or after 29
November 2026 at 101 per cent of the nominal amount – corresponding to a cash settlement of EUR 10.00 per bond – plus accrued interest.
The new 2026/2031 Bond is intended to be used primarily to refinance the 2022/2027 Bond.

If an allocation is made under the Exchange Offer, investors will have one bond of the new 2026/2031 Bond credited to their securities account for each 2022/2027 bond exchanged on the expected Issue Date (26 October 2026).
The extent of the allocation under the Exchange Offer can only be communicated after the end of the offer period, and no later than 19 October 2026. The allocation of bonds of the new 2026/2031 Bond in respect of 2022/2027 bonds tendered for exchange will be at the sole discretion of the issuer.
