Information for creditors of the 2021/2026 subordinated crowdfunding loan
On 23 September 2026, Katjesgreenfood GmbH & Co. KG made a voluntary public exchange offer, including an additional purchase option, to the creditors of the 5.00% subordinated crowdfunding loan 2021/2026 for the new 2026/2031 Bond (WKN: A5GS6W / ISIN: NO0013759555, interest rate range: minimum 7.75% to maximum 8.50% p.a.).
Creditors who tender their loan claims for exchange will, subject to allocation under the Exchange Offer, receive bonds of the 2026/2031 Bond at an exchange ratio of 1:1, plus interest on each loan claim exchanged for the current interest period up to, but excluding, the Issue Date, a cash settlement amount of 1.75% and bonus interest of 5.00%. The Exchange Period runs from 23 September to 15 October 2026.
Creditors will receive personalised QR codes (including links) by email, which they can use to access a digital subscription form on the issuer’s website and, within the Exchange Period, submit an offer to the issuer to exchange their loan claims as well as an offer for an additional purchase.

Frequently Asked Questions about the 2026 Crowdfunding Exchange

Creditors under the 2021/2026 Crowdfunding who submit an exchange instruction within the Exchange Period will, if their exchange instruction is accepted, receive one bond of the new 7.75%–8.50% 2026/2031 Bond for each EUR 1,000 of their 5.00% 2021/2026 Crowdfunding loan claim tendered for exchange. Accordingly, you will benefit from a higher interest rate and will also receive a cash settlement amount of EUR 17.50 per EUR 1,000 of the loan claim tendered for exchange.

All creditors will receive personalised QR codes (including links) at the email address provided when they subscribed for their subordinated crowdfunding loan. This will give them access, during the Exchange Period (23 September to 15 October 2026, 18:00 CEST), to a pre-populated digital subscription form through which they can submit an offer to the issuer to exchange their loan claims and to purchase additional bonds.
If creditors have not received personalised links (please also check your spam folder), they can request it again. In this case, the issuer may request certain personal information and evidence confirming their status as a creditor.

All creditors under the 2021/2026 Crowdfunding whose place of residence or registered office is in Germany, Austria or Luxembourg are eligible to participate in the exchange. There is no obligation to participate.
Creditors under the 2021/2026 Crowdfunding who do not participate in the exchange will receive the final interest payment of 5.00% p.a. at the end of the year, the bonus interest of 5.00% and repayment of their invested capital.
The exchange ratio is 1:1. This means that each creditor under the 2021/2026 Crowdfunding who submits an exchange instruction will, if the exchange instruction is accepted by the issuer, receive one bond of the new 2026/2031 Bond for each EUR 1,000 of their 2021/2026 Crowdfunding loan claim tendered for exchange.
In addition, a cash settlement amount of EUR 17.50 per EUR 1,000 of the loan claim tendered for exchange, the interest* attributable to the respective loan claim, and bonus interest of 5.00% of the invested capital in accordance with the loan terms will be paid.
Participants in the Exchange Offer also have the option, by exercising the additional purchase option, to submit an offer to subscribe for additional bonds of the new 2026/2031 Bond against payment of the principal amount.
* For the purposes of the Crowdfunding Exchange Offer, “interest” means the pro rata interest accrued from the last interest payment date (inclusive) in respect of a loan tendered for exchange until the Issue Date of the bonds, 26 October 2026 (exclusive). In accordance with section 7(2) of the general loan terms applicable to the loans tendered for exchange, interest is calculated on an act/360 basis using the actual number of days.
Yes. As part of the Exchange Offer, creditors may submit exchange instructions in respect of all or part of their loan claim, provided that the amount of each exchange instruction is divisible by the principal amount of EUR 1,000 without remainder.
However, you can only make use of the additional purchase if you have previously offered your entire exchange loan claim for exchange.
If you hold an amount under the 2021/2026 subordinated crowdfunding loan that is not divisible by EUR 1,000, you may exchange the corresponding partial amount. The remaining amount will be repaid at the end of the term on 31 December 2026 in accordance with the applicable repayment terms.
Yes. Creditors under the 2021/2026 Crowdfunding who participate in the Exchange Offer may also use the digital subscription form to submit an offer to purchase additional bonds of the 2026/2031 Bond by exercising the additional purchase option.
In addition, investors may subscribe as part of the public offer via our website or through Deutsche Börse’s DirectPlace subscription functionality (i.e. generally by placing a corresponding order through their own bank or custodian bank) from 23 September to 19 October 2026, subject to any extension or shortening of the offer period.

The interest rate will be within a range of 7.75%–8.50% p.a. and is expected to be determined on 19 October 2026 as part of the bookbuilding process. It will be communicated to bondholders in an Interest Rate and Volume Determination Notice.
Interest will be paid semi-annually on 26 April and 26 October of each year, with the first payment due on 26 April 2027.
If an allocation is made under the Exchange Offer, the creditor will have one bond of the new 2026/2031 Bond credited to their securities account on the expected Issue Date (26 October 2026) for each EUR 1,000 of their 2021/2026 Crowdfunding loan claim tendered for exchange.
The extent of the allocation under the Exchange Offer can only be communicated after the end of the offer period, and no later than 19 October 2026. The allocation of bonds of the new 2026/2031 Bond in respect of 2021/2026 Crowdfunding loan claims tendered for exchange will be at the sole discretion of the issuer.
